  3. A major plastic manufacturing company in California was represented for a US$55 million stock purchase acquisition that later changed to an asset purchase transaction.
  4. The merger and acquisition of a chip design and system development high-tech companies in San Francisco was also handled by Counsel Soon. The transaction encompassed IP issues, non-compete agreements, RSU agreements, various shares, and business contacts.
  5. Counsel Soon has assisted several investor who acquired an OTC company and became its majority shareholders.
  6. Our firm also practices immigration law-related matters, including L-1 and EB-5. Counsel Soon has handled projects on behalf of many major business franchises.

  2. Counsel Soon also served as the general counsel for various private and public companies.
  3. Counsel Soon has served as the CEO, CFO, and Secretary for several Biotech pharmaceutical companies. He is leading the IPO and fundraising for the organization.
    He has actively participated in key discussions with the FDA leading to 505(b)(2) New Drug Application (NDA) to obtain regulatory approval in the U.S. for the treatment of combined hypertension and hyperlipidemia.
    Additionally, he has participated in bridging studies demonstrating similar pharmacokinetics and pharmacodynamics (PK/PD) among Caucasian and South Korean populations. Our team has successfully persuaded FDA not to re-do the clinical trial in the U.S.
  4. Counsel Soon also served as the CBO for various pharmaceutical companies.  He successfully closed a US$10 million investment from the Investor.
  5. Counsel Soon served as an in-house general counsel of another public company traded in OTC BB from October 2008 to December 31, 2014. His duties include reviewing audit reports, 10Qs, 10Ks, 8K filings, and compliance with SEC regulations.
    He also reviews and drafts business contracts and performs corporate governance work. He assisted the company by filing Form 10 and raising more than US$53 million.
  6. Counsel Soon has held significant positions with large public companies and accounting firms.
  7. Counsel Soon served as the corporate controller of a major US company overseeing the accounting, auditing, manufacturing, budget, and insurance departments.
